What is LLP Form 15?
LLP Form 15 is the notice an LLP files with the Registrar when it changes its registered office. The notice is filed within 30 days of the change, with proof of the new address. The same form is used for a move inside the city, a move inside the state, and a move to another state. The extra steps depend on how far the office moves.
What does Form 15 report?
The old address and the new address. The LLP follows the procedure written in the LLP agreement. Letterheads, invoices, and the records that show the registered office are updated after the change is filed. The annual forms do not move the office. Those forms are on the LLP annual page.
Who must agree?
If the agreement sets a procedure, that procedure is followed. If it does not, every partner consents. A change of the agreement itself, where the agreement records the office and that clause is rewritten, is filed in Form 3. Form 3 is the intimation of a change in the agreement. It is not a substitute for Form 15.
What changes in a move to another state?
The secured creditors consent. The LLP also publishes a general notice, at least 21 days before the notice is filed with the Registrar, in a daily newspaper in English and in a daily newspaper in the principal language of the district where the office sits. Form 15 is still the form. The Registrar of the new state is the Registrar after the change takes effect.
Is this the company form?
No. A company reports its registered office in INC-22, on the company registered office page. An LLP does not file INC-22, and a company does not file Form 15. Shifting the office does not, by itself, change the LLP into a company. That is a conversion, on the LLP page.

Is Form 15 the same as INC-22?
No. INC-22 is the company’s notice under section 12. An LLP files Form 15 under the LLP Rules.
Must every partner consent?
The LLP follows the procedure in its agreement. If the agreement is silent, all the partners consent.
Is Form 3 always filed with Form 15?
Form 3 is filed when the LLP agreement itself is changed. It is not a second copy of Form 15.
Does a pending case by itself stop the change?
No. The Rules do not add that bar. A move to another state still needs the secured creditors’ consent and the newspaper notice.
