Financial statements of a company
A company’s financial statements are approved by the board, adopted by the members, and filed with the Registrar in Form AOC-4. Company Suggestion prepares that set and the filing.
What are a company’s financial statements?
Section 2(40) describes the set: a balance sheet, a statement of profit and loss, a cash flow statement, a statement of changes in equity where applicable, and the explanatory notes.
Section 129 requires the statements to give a true and fair view and to comply with the accounting standards. The board approves them. The members adopt them at the annual general meeting. AOC-4 then goes to the Registrar within 30 days of that meeting.
Who signs them?
Section 134 names the signatories.
- The chairperson, if authorised by the board, or two directors, of whom one is the managing director where there is one.
- The chief executive officer, the chief financial officer and the company secretary, where they are appointed.
- A one person company: one director.
The auditor’s report is attached. The appointment of the auditor is a separate filing.
Which papers go into AOC-4?
AOC-4 carries four documents.

- The board’s report
- The consolidated statements, when the company must prepare them
What are the filing steps?
Company Suggestion files the statements in four steps.
- The books are closed and the statements are drawn.
- The auditor reports. The board approves the statements and the board’s report.
- The members adopt them at the annual general meeting. An OPC’s member adopts them without an AGM.
- AOC-4 is filed within 30 days of the meeting, or within 180 days of the year end for an OPC.

What must the statements show?

Does an OPC include a cash flow statement?
A one person company, a small company and a dormant company are not required to include a cash flow statement.
Is AOC-4 the annual return?
No. AOC-4 files the financial statements. The annual return is MGT-7 or MGT-7A.
