Change of a company’s name
A company changes its name under section 13 of the Companies Act, 2013. Company Suggestion reserves the new name, files the special resolution and obtains the fresh certificate.
How does a company change its name?
The board proposes a name. The name is reserved only if it is not identical or too nearly resembles an existing name, and if it meets the naming rules.
The members then pass a special resolution. MGT-14 files that resolution within 30 days. INC-24 seeks the Central Government’s approval. The Registrar issues a fresh certificate of incorporation in the new name.
When is Central Government approval required?
Section 13 draws one line.
- A change of the name itself needs the approval applied for in INC-24.
- Only adding or dropping the word “Private” on a conversion between a private and a public company follows the conversion forms, not this name application.
That conversion is filed as a private company into a public company.

Which forms change a company name?

Does the company become a new company?
No. The company, its CIN basis and its liabilities continue. The fresh certificate records the new name.
How long is a reserved name held?
A name reserved for an existing company is held for the period the MCA system states on the approval. The special resolution and INC-24 are filed inside that period.
Can the word Private be dropped this way?
Dropping “Private” because the company is becoming a public company is the conversion filing, INC-27, not a standalone name change.
