What is venture capital funding?

By Akshay Biwal Updated

Venture capital funding is money a fund invests in a young company in exchange for a share. It is equity. It is not a loan, and it is not a grant paid because the company was incorporated or recognised.

What is the funding?

The company issues shares. The fund becomes a shareholder on the terms of that issue. A later round can issue more shares. None of those rounds has a percentage this page can state in advance. The share, the price, and any special rights are the documents of that deal. A private company still restricts transfers under its articles. How shares move after they are issued is on the transfer page.

Who provides it in India?

A venture capital fund is typically registered as a Category I alternative investment fund. What an alternative investment fund is, and that the categories are not interchangeable, is on the AIF page. The fund raises commitments from its investors and then invests. The company does not apply to SEBI for the fund’s registration.

What is it not?

It is not DPIIT recognition. What that scheme does, including that the Fund of Funds invests through funds and not by a cheque to the startup, is on the scheme page. It is not a bank loan, and it is not Udyam registration. Forming the company, which is on the private-company page, is what makes the shares exist. It does not bring the fund.

Frequently asked questions

Four questions cover a loan, DPIIT recognition, other funds, and a standard percentage.

Is venture capital a loan?

No. The fund takes a share. It is not a deposit and it is not a bank loan. The company does not repay a fixed instalment merely because the round closed.

Does DPIIT recognition release the money?

No. Recognition is a government status. A fund decides its own investment. The Startup India Fund of Funds invests through alternative investment funds. It is not a cheque paid on the certificate.

Is every fund a venture capital fund?

No. An alternative investment fund has categories. A venture capital fund sits in Category I. A different category is a different fund.

Does the round have a standard percentage?

No. The share the fund takes is what that deal agrees. This page does not quote a percentage, a valuation, or a cheque size.

A venture capital fund in India is regulated as an alternative investment fund. What that fund is, is a separate page. Startup recognition does not invest the money.
