What is registration with the Registrar of Companies?
Registration with the Registrar of Companies is the incorporation of the company. The Registrar issues a certificate of incorporation. That certificate is the registration. There is no second, yearly registration under the same name.
What is the registration?
The company comes into existence on the certificate. A private company is formed as set out on the private-company page. The Registrar is the officer who keeps the register of companies. The office is not the income-tax department and not the GST department.
What is filed after that?
The company files its financial statements and its annual return for each year, and event forms when something changes. Those filings keep the register up to date. They do not incorporate the company again. What the certificate does not include is on the post-incorporation page.
What is not ROC registration?
An LLP is registered under the LLP Act, on the LLP page. A partnership firm is registered, if at all, with the Registrar of Firms. GST, a trademark, and a state shop registration are not the certificate of incorporation.
Frequently asked questions
Four questions cover a renewal, GST, an LLP, and the tax office.
Is there a yearly ROC renewal?
No. The company is incorporated once. The yearly filings are the financial statements and the annual return. They do not re-register the company.
Does the certificate include GST?
No, unless GST was applied for inside the incorporation form. A trademark, a shop registration, and DPIIT recognition are also separate.
Is an LLP incorporated as a company?
No. An LLP is registered under the LLP Act. The certificate is not a certificate of incorporation under the Companies Act.
Is the Registrar a state tax office?
No. The Registrar of Companies is the officer under the Companies Act. Income tax and GST are different departments.
