How are ROC forms processed?
ROC forms are the electronic filings a company or an LLP makes with the Registrar. Many of them are now processed in a central centre of the Ministry of Corporate Affairs, not only by the Registrar of the city where the registered office sits. The company still files on the MCA portal. The centre changes who examines the form.
Which centres process forms?
- The Central Registration Centre handles incorporation. A new private company still follows the private limited company route. The certificate comes from that centre.
- The Central Scrutiny Centre examines straight-through forms after the system has taken them on record. It is a scrutiny centre, not a security centre.
- The Centre for Processing Accelerated Corporate Exit handles applications to strike a company off.
- The Central Processing Centre handles other electronic forms that are sent to it with the fee.
What does the Central Processing Centre do?
From February 2024, the Central Processing Centre disposes of the electronic forms the rules assign to it. A straight-through form does not wait for an officer before it is taken on record. A form that is not straight-through is examined, and it can be sent back if the attachment or the particulars do not match the Act. Central filing does not change the section that required the form. A director change is still DIR-12. A registered-office change of a company is still INC-22, on the registered office page.
What stays with the local Registrar?
The jurisdictional Registrar keeps the powers the Act does not move to a central centre. That includes inspection, inquiry, and adjudication where those provisions apply. A form processed centrally can still be followed by a local compliance check. The annual forms of a private company remain the ones on the annual compliances page.
Does the company file somewhere else?
No. The form is still signed and uploaded on the MCA portal, with the fee the fee rules set for that form. There is no second portal for the central centre. A correction that no existing form can make is a different request, on the change request form page.
Frequently asked questions
Four questions cover the scrutiny centre, the local Registrar, timing, and incorporation.
Is the CSC a security centre?
No. CSC is the Central Scrutiny Centre. It examines straight-through forms after they are taken on record.
Does the local Registrar lose every power?
No. The Central Processing Centre deals with the electronic forms assigned to it. The jurisdictional Registrar keeps the other powers under the Companies Act.
Does central processing approve every form on the same day?
No. A straight-through form is taken on record by the system. A non-STP form waits for an officer. Central processing does not promise a same-day approval.
Is a new company still incorporated through a central centre?
Yes. The Central Registration Centre handles incorporation filings. The company is still an Indian company once the certificate is issued.
